SPECIFICATION OF ESSENTIAL CONDITIONS OF THE ORDER

FOR THE DELIVERY OF WORK AND PROTECTIVE CLOTHING AND WORK FOOTWEAR

1. ORDERED OBJECT

1. The subject of the order are the successive deliveries of work and protective clothing and footwear for the company Sklejka Orzechowo SA in Orzechowo.

2. Procedure not included in the procedure the Act of January 29, 2004 Public procurement law.

1. ORDER DESCRIPTION

* The supplier is obliged to deliver working clothes in the colors indicated by the Ordering Party in the order.

1. The Ordering Party requires that the subject of the contract meets the requirements of the applicable PN-EN-ISO standards and that it has a mark of compliance with European standards CE.

2. Workwear will be used in the wood industry, incl. in dealing with adhesives and dusts - the tenderer should take this circumstance into account when submitting the offer.

3. Workwear should be at least of the quality of REIS Master series workwear.

4. The Ordering Party reserves the right to fluctuate ± 25% of the above-mentioned quantity of the subject of the order.

5. The above-mentioned amounts should be considered indicative. The actual quantity of the delivered goods will result from the current needs of the Ordering Party.

6. After the preliminary examination of the offers (price criterion), the Ordering Party will request the five tenderers who submitted the most advantageous offer in terms of price, to submit (at the Supplier's expense), within the time limit set by the Ordering Party, not shorter than 3 working days, of the subject matter of the contract in order to assess the quality of the proposed goods .

7. The deposited designs will be collected by the Suppliers after receiving information about the outcome of the procedure or by submitting a written request for their return at the Supplier's expense (not applicable to the Suppliers with whom an agreement will be concluded as a result of the procedure).

8. The supplier is obliged to provide a table of dimensions and sizes for the delivered clothing, along with the clothing patterns.

9. All delivered goods must comply with the patterns available at the Orderer's premises and in accordance with the agreed sizes.

10. Individual partial deliveries will take place successively, in accordance with the Ordering Party's needs, to the Clothing Store in Orzechowo, at ul. Miłosławska 13 (at the expense of the Supplier), on time up to 5 days from placing an order by e-mail or by phone.

11. In the case of clothing that requires a logo print, the delivery date may be extended up to 7 business daysand in the case of sewn-to-size garments up to 14 business days.

12. The delivery dates specified in point 12 may be changed after appropriate arrangements have been made, with the consent of the Ordering Party.

13. The Supplier shall provide a minimum for the subject of the order 12-month warrantyfrom the date of receipt of the delivery without reservations.

III. DATE OF COMPLETION OF THE ORDER

Successively, according to partial orders, within 12 months from the date of signing the contract, starting from January 1, 2022.

1. DESCRIPTION OF THE CONDITIONS OF PARTICIPATION IN THE PROCEDURE

1. Suppliers who:

2. a) are authorized to perform a specific activity or activity, if the laws impose an obligation to have such powers;

3. b) have the necessary knowledge and experience as well as have the technical potential and people capable of performing the contract;

4. c) are in an economic and financial situation ensuring the performance of the contract;

      and they will present the completed offer form - Annex 1 to the SETC.

2. The offer form should be signed by authorized representatives of the Supplier.

3. The supplier may only place one offer.

1. CONTRACTOR'S REMUNERATION PAYMENT

1. The supplier is entitled to remuneration in accordance with the price offer.

2. Advance payments are not planned.

3. The basis for the settlement will be the invoice issued by the Supplier - after the final acceptance signed by the parties to the order.

4. The payment deadline is 30 days from the date of delivery of the invoice to the Ordering Party.

5. The date of payment shall be the date on which the Ordering Party's bank account is debited.

1. LIST OF REQUIRED STATEMENTS AND DOCUMENTS

1. In order to demonstrate that the conditions for participation in the procedure have been met, the Tenderer should submit:

1) offer form - in accordance with Annex 1 to the SETC,

2) a current excerpt from the relevant register or entry in the register of economic activities.

2. In the case of an offer submitted by partners of a civil partnership, the offer should contain a civil partnership agreement.

VII. OFFER BINDING DATE

The tenderer remains bound by the offer for a period of 60 days. The time limit begins with the deadline for submitting offers.

VIII. PREPARATION OF OFFERS

1. Bidders are required to read carefully the information contained in the Terms of Reference

   and prepare an offer in accordance with the requirements specified in this document.

2. Tenderers bear all their own costs related to the preparation and submission of the tender.

1. DEADLINE FOR SUBMISSION OF OFFERS

1. Offers must be submitted until November 30, 2021.

2. The bids will be opened without the participation of the bidders.

3. The tenderer bears the risk of not receiving the offer within the prescribed period.

1. DESCRIPTION OF THE MANNER OF SELECTING THE OFFER

1st stage

Evaluation of the submitted offers according to the price criterion - 100%.

Information on the selection of the five most advantageous in terms of price offers and an invitation to submit models of the proposed assortment.

Delivery of designs within the time limit indicated by the ordering party.

Stage II

1. Price of the subject of the contract - meaning 80 %, according to the formula:

Where: C min - minimum price (net) in the set of offers

C n     - price of the examined offer (net).

AND_n       - the number of points obtained for the price criterion.

2. Assessment of the materials used - the importance of 20 %.

1. INFORMATION ABOUT THE FORMALITIES AFTER SELECTING THE OFFER

1. The Awarding Entity shall inform about the results of the procedure on its website, by indicating the company of the entity entrusted with the performance of the task.

2. The contracting authority will conclude the contract within a period of not less than 7 days from the date of submitting the notification on the selection of the offer, but not later than before the expiry of the offer binding period.

XIII. RESERVATIONS OF THE CONTRACTING PARTY

1. The Ordering Party reserves the right to freely choose the offers, and the right to withdraw or cancel the procedure without giving reasons, and the Bidders are not entitled to any claims in this respect.

2. The offer is non-refundable.

3. The Ordering Party reserves the right to conduct price negotiations with Suppliers after receiving offers in the course of these proceedings. Price negotiations will be treated as binding and final to the contract.

4. The Supplier, in the event of a delay in the performance of the contract or its improper performance (e.g. delivery of poor quality, delivery not in accordance with the submitted models), regardless of the scope of its responsibility, shall pay the Ordering Party contractual penalties in the amount of 0.2% of the gross value of the order for each day of delay calculated after the expiry of the delivery date or the date specified by the Ordering Party for delivery in accordance with the contract.

5. The payment of contractual penalties does not exclude the Ordering Party's right to claim compensation on general terms.

6. The ordering party has the right to terminate the contract with immediate effect

   in case of:

1. Supplier's bankruptcy,

2. initiating the Supplier's restructuring proceedings,

3. Supplier's liquidation announcement,

4. improper performance of the contract three times.

• Any disputes arising from the performance of the contract shall be settled by the parties to the courts according to the local jurisdiction of Sklejka Orzechowo SA in Orzechowo.

• The Ordering Party declares that it has the status of a large entrepreneur within the meaning of Article 4 point 6 of the Act of March 8, 2013 on counteracting excessive delays in commercial transactions.

• The ordering party declares that it is the administrator of the personal data provided to it under this contract. The processing of personal data will only take place to the extent necessary for the implementation of this Agreement. XIV. FINAL PROVISIONS

1. The contracting authority does not provide for the reimbursement of the costs of participation in the procedure.

2. Appendix 1 to this ToR is the Tender Form.
