We invite you to submit offers for keeping the Register of Shareholders within the meaning of Art. 3281 and 3283 of the Commercial Companies Code. - Walnut plywood

The Management Board of SKLEJKA ORZECHOWO SA with its seat in Orzechowo invites you to submit offers for keeping the Register of Shareholders

within the meaning of Art. 328¹ and 328³ Of the Commercial Companies Code.

I. Data of the Ordering Party

SKLEJKA ORZECHOWO Spółka Akcyjna with its registered office in Orzechowo (62-322), at ul. Miłosławska 13, entered into the Register of Entrepreneurs of the National Court Register under KRS number: 0000491363, with a share capital of PLN 10,500,000 (fully paid up), the documentation of which is kept by the District Court Poznań - Nowe Miasto
and Wilda in Poznań, IX Commercial Division of the National Court Register.

 II. order description

1. The subject of the contract is entrusting the selected bidder by the Ordering Party who, pursuant to the Act of July 29, 2005 on trading in financial instruments, is authorized to keep securities accounts, prepare, prepare and keep the Register of Shareholders for SKLEJKA ORZECHOWO SA, taking into account the standards resulting from the Act Of the Amendment, including changes made under the Code of Commercial Companies. The selected bidder will be required to take into account, as part of the service provided, any possible changes in the legal status in the field of keeping the Register of Shareholders.
2. The owner of the 100% shares is the State Treasury, the shares are not privileged.
3. The provisions of the Act of January 29, 2004, Public Procurement Law, shall not apply to the procedure specified in the Invitation.

III. Offer

1. The offer should include:

1. the bidder's company, along with an indication of its KRS numbers, address, contact telephone number and e-mail address,
2. documents confirming that the bidder is authorized to keep securities accounts pursuant to the Act of July 29, 2005 on Trading in Financial Instruments, together with references confirming his experience in this field,
3. specification of the date by which the tenderer will carry out the work, including the preparation of the documentation necessary for the Ordering Party to implement the Register of Shareholders,
4. proposed work schedule,
5. the proposed content of the contract, which will provide that it is concluded for an indefinite period with the possibility of termination by either party, with a notice period not exceeding 3 months,
6. description of solutions that the tenderer intends to use as part of the services provided,
7. determination of the amount of the expected remuneration (net and gross) for 12 months of keeping the register, given in PLN, taking into account that unless the Ordering Party's statute provides otherwise, the bidder will not act as an intermediary in the performance of the Company's monetary obligations towards shareholders for their rights under shares in in relation to a sole proprietorship of the State Treasury,
8. the period of validity of the offer, not shorter than August 31, 2020,
9. a list of documents necessary for the bidder to keep the Register of Shareholders,
10. the bidder's declaration of consent to the processing of personal data for the purpose of carrying out this tender procedure.
11. the bidder's declaration that he has been informed about the address of the data controller, which is SKLEJKA ORZECHOWO SA, the purpose of data processing and the right to access and correct his data.
12. consent to sign a conditional agreement, i.e. one that will come into force
    in the event that the General Meeting of SKLEJKA ORZECHOWO SA adopts a resolution regarding the selection of the entity maintaining the Register of Shareholders for Sklejka Orzechowo SA, taking into account the new wording of Art. 328¹ § 5 of the Code of Commercial Companies.

2. The offer should be made legibly in Polish and signed by the person or persons authorized to act on behalf of the tenderer. If the offer is signed by an attorney, a copy of the power of attorney should be attached to the submitted offer.

3. The Awarding Entity does not allow variants or partial offers.

 IV. Terms of payment

The remuneration for the services provided will be fixed and will have a flat-rate nature, covering all activities and services that are necessary for the proper keeping of the Share Register. This remuneration will be paid in full after the start and use of the electronic Share Register, ie it will be payable from January 1, 2021. Payments for each year of keeping the Share Register will be divided into 6 equal installments. The payment will be made by bank transfer to the contractor's bank account, which will be indicated in the content of the VAT invoice issued by him.

V. Place and date of submitting offers

1. The offer should be submitted in electronic form to the e-mail address: i.robak@sklejkaorzechowo.pl by 27 July 2020 until 12.00.
2. The title of the message should include the following text: "Offer regarding the register of shareholders of Sklejka Orzechowo SA".

VI. Additional information

1. The tenderer shall bear all costs related to the preparation and submission of the offer.
2. The Awarding Entity does not provide for the reimbursement to the tenderers of any costs or expenses related to the participation in this procedure.
3. The contracting authority reserves the right to cancel or terminate the procedure at any stage without giving any reason. Submitting the offer is tantamount to accepting this state of affairs, therefore the bidders will not be entitled to any claims against SKLEJKA ORZECHOWO SA, related to the use by the Ordering Party of the rights provided for in the preceding sentence.
4. This inquiry does not constitute an offer within the meaning of the Civil Code, but an invitation to submit them by potential bidders; therefore, the receipt of the offer by SKLEJKA ORZECHOWO SA does not result in the conclusion of the contract. It is agreed that the lack of a response to the offer submitted in the procedure cannot be considered as acceptance of such an offer, because the conclusion of the contract will take place only when the General Meeting of SKLEJKA ORZECHOWO SA selects one of the offers received and negotiates the entire content of the written contract, which will bind the selected tenderer (contractor) with the Employer.
5. The Bidder undertakes towards SKLEJKA ORZECHOWO SA to keep confidential all information obtained in connection with the performance of the contract or the conducted proceedings.
6. In any case for:

a) the moment of concluding the contract by the parties is the date of signing the contract by both parties for the performance of the contract,

b) the place of conclusion of the contract by the parties shall be the seat of the Ordering Party.

1. The contracting authority will contact the selected tenderer and inform by e-mail to the address indicated in the offer about the selection of his offer as the most advantageous, starting the process of negotiating the content of the final contract. In relation to an offer that has not been accepted, no information will be sent about the non-acceptance of the offer.
2. The criterion for selecting the most advantageous offer recommended to the Management Board of SKLEJKA ORZECHOWO SA is the price, availability of the services provided and experience in keeping records of shareholders and trading in shares.
3. The awarding entity allows for the possibility of conducting negotiations with the selected tenderer in the course of the procedure.
4. Personal data will be processed by the company SKLEJKA ORZECHOWO SA with its registered office in Orzechowo at ul. Miłosławska 13, in order to conduct this tender procedure. The tenderer has the right to access their data and the right to correct it. Providing data is voluntary. The refusal to provide them is tantamount to the inability to participate in these proceedings.
